The terms that govern your use of jonathanfreire.com and the services I offer.

These terms of service govern your use of jonathanfreire.com and any work I do for you as Jonathan Freire, sole trader (Einzelunternehmer) based in Berlin, Germany. By using the site or engaging me for a project, you agree to these terms.

Who I am

I am Jonathan Freire, a Digital Product Architect based in Berlin, Germany. I work as a sole trader, registered in Germany under the name "Jonathan Freire". My contact email is jonathan.freireespinoza@gmail.com.

All references to "I", "me" or "my" in these terms mean Jonathan Freire as a sole trader. All references to "you" mean the person or company using the site or engaging me for a project.

Use of this website

You are welcome to browse jonathanfreire.com, share links to it, and quote from it for non-commercial purposes, provided you credit the source. You may not copy, redistribute, or republish the full content of the site, including the design, code, and writing, without my written permission.

I do my best to keep the site available, accurate, and up to date, but I cannot guarantee that the site will be uninterrupted or error free. I may update, change, or remove content at any time without notice.

Engaging me for a project

Working together always starts with a conversation. If we both agree to move forward, I send a written proposal with a clear scope, timeline, and fixed price. The proposal, once signed, becomes the binding agreement for the work, and these terms apply alongside it.

Engagements are run on a fixed scope, fixed price basis. I do not work on hourly retainers or open-ended engagements. If the scope changes during the project, I will tell you before continuing and agree the change in writing.

What I deliver

The deliverable for each project is described in the signed proposal. It usually includes some combination of product strategy, design, frontend and backend development, and AI integration. Once the project is delivered, you own the final work product, including any custom code, designs, and written deliverables, unless we agree otherwise in writing.

I retain the right to use the work I produce for you in my portfolio and case studies, unless we agree otherwise in writing. I never share your confidential business information.

Payment

Payment terms are set out in the signed proposal. Invoices are usually split into milestones, with a deposit at the start of the work. All prices are quoted in EUR and exclusive of the statutory German VAT (Umsatzsteuer). As a Kleinunternehmer under §19 UStG, I do not currently charge VAT, but this may change, in which case I will update the proposal accordingly.

Late payments may pause the work. I will always let you know before this happens.

Intellectual property

I retain ownership of any pre-existing tools, frameworks, code libraries, and methodologies I bring to the project. I grant you a perpetual, non-exclusive license to use these as part of the final deliverable.

Open source components are governed by their respective licenses. Anything third party remains the property of its owner.

Confidentiality

I treat anything you share with me as confidential, including your business plans, code, customer data, and any other information that is not public. I will not share it with anyone outside the people I work with on the project, and only to the extent needed to do the work.

The same applies in reverse: please keep anything I share with you that is marked as confidential, including proprietary methods and code, in confidence.

Liability

I work with care and to a professional standard, but I cannot guarantee specific business outcomes from the work I deliver. Software, by its nature, can contain bugs, and products may need iteration after launch to reach their goals.

To the extent permitted by law, my total liability for any claim related to a project is limited to the fees you have paid me for that project in the 12 months before the claim. I am not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Nothing in these terms excludes or limits liability for gross negligence, intentional misconduct, or injury to life, body, or health, where such exclusion or limitation would be unlawful under German law.

Termination

Either of us can end a project before it is finished, by writing to the other. If you end the project, you pay for the work done up to that point. If I end the project for a reason other than your breach, I refund any unused portion of the fee.

I can suspend or terminate the work immediately if you use the deliverables for unlawful purposes, fail to pay an invoice after a written reminder, or otherwise materially breach these terms.

Third party services

This site and some of the work I do rely on third party services, including Framer (hosting), GitHub (code hosting), Vercel (deployment), and the providers of various APIs. I am not responsible for downtime, data loss, or policy changes caused by these services, but I will do my best to keep things working and to communicate any issues that affect you.

Changes to these terms

I may update these terms from time to time, for example to reflect new legal requirements or changes in how I work. The current version is always the one on this page, with the "last updated" date at the top. Continued use of the site or engagement of my services after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is Berlin, Germany, unless mandatory consumer protection rules in your country give you the right to bring a claim in your local courts.
